1. Description of Service

Gauge is a business intelligence and data auditing tool designed to integrate with Jobber. We provide analytics, commission calculations, profitability tracking, and "revenue recovery" scanning by processing data from your connected Jobber account.

We are an independent software provider and are not affiliated with, endorsed by, or sponsored by Jobber.

2. Beta Services (Early Access)

You acknowledge that the Service is currently in a Beta/Early Access phase.

• "As Is" Basis: The Beta Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
• Potential Errors: The Service may contain bugs, errors, or inaccuracies that could cause failures, corruption, or loss of data.
• No Reliance: You should not rely exclusively on the Beta Service for critical financial or business decisions. We recommend cross-referencing our calculations with your own accounting records.

3. Accounts and Registration

When you create an account with us, you must provide information that is accurate, complete, and current. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

4. Integration with Jobber

Our Service relies on the availability of the Jobber API and your active account with Jobber.

• Authorization: By connecting your Jobber account, you grant us express permission to access, read, and process your Jobber data (including client lists, invoices, and timesheets) as described in our Privacy Policy.
• API Availability: If Jobber ceases to provide access to their API, or restricts access to the data we require, we may cease to provide the Service at any time without refund or liability.

5. Financial Disclaimers

Gauge is not an accounting firm or a financial advisor.

• Estimates Only: The metrics provided by Gauge (including "True Labor Burden," "Net Profit," and "Commission" calculations) are estimates based on the data provided by you and Jobber.
• User Responsibility: You are solely responsible for verifying the accuracy of all reports before using them for payroll, tax, or business strategy purposes. We are not liable for any underpayment or overpayment of commissions or taxes based on our data.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Gauge and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Gauge.

Your Data: You retain all rights to the data you input into the Service or sync from Jobber. You grant us a license to use this data solely to provide and improve the Service.

7. Subscription and Payments

• Free Trials/Beta: We may offer the Service for free during the Beta period. We reserve the right to begin charging for the Service at any time, with reasonable prior notice to you.
• Billing: If you choose to upgrade to a paid plan, you agree to pay all fees in accordance with the pricing terms in effect at the time.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service and disconnect your Jobber integration.

9. Limitation of Liability

In no event shall Gauge, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. your access to or use of or inability to access or use the Service;
2. any conduct or content of any third party on the Service;
3. any content obtained from the Service; and
4. unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
